This Product Image License Agreement ("Agreement") governs the use of product photographs, renderings, graphics, and other visual assets ("Images") owned by Safe T Cover ("Company") by the authorized recipient ("Partner").

1. Limited License

Safe T Cover grants Partner a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use Company-approved Images solely for the purpose of advertising, promoting, merchandising, and selling genuine Safe T Cover products.

This license does not convey any ownership rights or other intellectual property rights in the Images.

2. Permitted Use

Partner may use the Images only:

• In connection with the promotion and sale of authentic Safe T Cover products.
• On Partner-owned websites, authorized e-commerce listings, printed marketing materials, catalogs, email marketing, social media channels, presentations, and other approved marketing materials.
• In a truthful and accurate manner that represents Safe T Cover products.

3. Prohibited Uses

Unless expressly approved in writing by Safe T Cover, Partner shall not:

• Modify, edit, manipulate, distort, or otherwise alter any Image.
• Remove, obscure, or replace any branding, logos, labels, packaging, or identifying product features.
• Change colors, proportions, lighting, or product appearance.
• Create derivative works based upon the Images.
• Combine Images with other graphics, products, or messaging in a manner that could imply an endorsement or association that does not exist.
• Add text, graphics, badges, promotional elements, or overlays that materially alter the presentation of the product.
• Use Images in misleading, deceptive, defamatory, unlawful, or offensive content.
• Use Images in comparative advertising without prior written approval.
• Use Images in connection with products other than genuine Safe T Cover products.
• Use Images in any manner that could damage, dilute, or negatively affect the reputation or goodwill of Safe T Cover.

Reasonable resizing, cropping for layout purposes (without changing the intended presentation), compression, or file format conversion necessary for publication is permitted.

4. AI and Digital Manipulation

Partner shall not use Safe T Cover Images:

• To train artificial intelligence or machine learning models.
• As inputs for generative AI systems.
• To create AI-generated derivative images.
• In synthetic media or digitally manipulated content that materially changes the appearance of the product.

Unless Safe T Cover provides prior written approval.

5. Marketplace Use

Partner may use the Images only on authorized sales channels for genuine Safe T Cover products.

Images may not be used on unauthorized marketplace listings or in connection with counterfeit, gray market, refurbished, substitute, or competing products.

6. Ownership

All Images remain the exclusive property of Safe T Cover and are protected by applicable copyright, trademark, and other intellectual property laws.

Nothing in this Agreement transfers ownership of the Images or any related intellectual property.

7. Updated Images

Safe T Cover may replace, revise, or discontinue any Image at any time.

Upon receiving written notice, Partner agrees to replace discontinued Images with current versions or remove them entirely within five (5) business days.

8. Right to Review and Removal

Safe T Cover reserves the sole and absolute right to determine whether any use of its Images is inconsistent with this Agreement or otherwise inappropriate.

Upon written notice, Partner shall immediately discontinue the identified use and remove the affected Images from all websites, online marketplaces, social media platforms, printed materials, advertisements, digital assets, and any other distribution channels within five (5) business days, or sooner if reasonably requested by Safe T Cover.

Partner agrees to promptly cooperate with any reasonable request to correct or remove non-compliant use.

9. Revocation of License

Safe T Cover may revoke this license, in whole or in part, at any time, with or without cause, upon written notice.

Upon revocation, Partner shall immediately cease all use of the Images and remove them from all media and marketing materials within five (5) business days.

No further use of the Images shall be permitted following revocation.

10. No Transfer or Redistribution

Partner may not:

• Transfer this license.
• Sublicense the Images.
• Share the original image files with any third party.
• Permit another organization or individual to use the Images.

Without Safe T Cover's prior written consent.

11. Compliance

Partner shall comply with all applicable laws, regulations, and advertising requirements when using the Images.

Partner is solely responsible for ensuring its marketing materials remain compliant.

12. Remedies

Unauthorized use of the Images or failure to comply with this Agreement shall automatically terminate this license.

Safe T Cover reserves all rights and remedies available under applicable law, including the right to seek injunctive relief, damages, recovery of attorneys' fees where permitted by law, and any other available equitable or legal remedies.

13. No Waiver

Failure by Safe T Cover to enforce any provision of this Agreement shall not constitute a waiver of its right to enforce that provision or any other provision in the future.

14. Entire Agreement

This Agreement constitutes the entire understanding regarding Partner's use of Safe T Cover Images and supersedes any prior verbal or written permissions related to such use.

By downloading, receiving, or using Safe T Cover Images, Partner acknowledges that it has read, understood, and agrees to comply with the terms of this Agreement.
